Terms of Service

1. Agreement to these Terms

1.1 These Terms of Service (“Terms”) govern your access to and use of the NextShopper website, client portal, APIs (if any), checkout and payment flows, invoices, knowledge base, and all products and services we offer, including domain name registration and management, web hosting, email hosting, SSL/TLS certificates, DNS-related features, and related digital services (collectively, the “Services”).

1.2 By creating an account, clicking to accept these Terms, completing checkout, paying an invoice, or otherwise using the Services, you (“Customer”, “you”, or “your”) enter a binding agreement with Next Shopper IT Solutions LLC.

1.4 If you do not agree, do not use the Services. If you use the Services on behalf of an organisation, you represent that you have authority to bind that organisation, and “you” includes that organisation.

1.5 Language. We publish these Terms in English and Bangla. For customers in Bangladesh, both versions are provided to meet Digital Commerce Operational Guidelines. If there is an ambiguity between language versions, we will interpret them consistently with mandatory Bangladesh consumer-protection and digital-commerce rules. For customers outside Bangladesh, the English version controls unless mandatory local law requires otherwise.

2. About NextShopper

2.1 Legal entity. Next Shopper IT Solutions LLC is organised under the laws of the State of Florida, USA, with the registered office stated above.

2.2 Brand and website. We operate the NextShopper brand at https://nextshopper.com.bd and related client portals.

2.3 Reseller model. We are a reseller of domain registration and hosting-related services. We are not an ICANN-accredited registrar and not a registry operator. Domain registrations are submitted through an upstream ICANN-accredited registrar (or an authorised channel for applicable ccTLDs). Hosting, email, and related infrastructure may be provisioned on upstream hosting control panels or partners.

2.4 Business identifiers. Where required for Bangladesh digital commerce (trade licence, VAT/BIN, TIN, UBID/UBIN or equivalent), we will display current identifiers on this website. Request the latest status from [email protected].

2.5 Compliance contact. For regulatory and consumer-rights coordination, email [email protected] with the subject line “Compliance Officer”.

3. Definitions

In these Terms: Account means your registered portal login; Order means a purchase request via cart/checkout; Invoice means our billing document; Digital Product means a non-physical Service (domain year, hosting term, mailbox, certificate); Registrar means the accredited registrar sponsoring your domain; Registry means the TLD operator; RDAP/WHOIS means registration directory services; Force Majeure means events beyond reasonable control including natural disasters, war, terrorism, labour disputes, internet backbone failures, registry or payment-rail outages, embargoes, and government acts; AUP means the Acceptable Use Policy.

4. Eligibility and Accounts

4.1 You must be at least eighteen (18) years old, or the age of majority in your place of residence if higher, and legally able to enter a binding contract.

4.2 You must provide accurate, current registration and billing information and keep it updated. Providing false identity or contact data—especially domain registration data—may result in suspension or cancellation.

4.3 You are responsible for safeguarding login credentials, enabling available security features (including multi-factor authentication where offered), and all activity under your Account. Notify us immediately of suspected unauthorised access.

4.4 We may refuse, suspend, restrict, or terminate Accounts that violate these Terms or the AUP, that are used for fraud or abuse, that fail sanctions or payment-risk screening, or that present unacceptable legal or operational risk.

4.5 One natural person or legal entity should not create multiple Accounts to evade suspensions, refund limits, or promotional restrictions.

5. Description of Services

5.1 Domain Services. Domain search, registration, renewal, transfer-in and transfer-out (where supported), DNS management features we expose, privacy/proxy options where offered, registrar locks, and auth-code retrieval—each subject to registrar and registry rules.

5.2 Hosting Services. Shared or other hosting plans as described on product pages at the time of purchase, including stated disk, bandwidth, database, and feature allotments, subject to fair-use and AUP limits.

5.3 Email Services. Mailboxes and related features as sold, subject to sending limits, authentication requirements (SPF, DKIM, DMARC where applicable), and anti-abuse controls. Deliverability to third-party mailbox providers is not guaranteed.

5.4 SSL/TLS. Certificates issued by certificate authorities (CAs) through our upstream channels. Issuance depends on successful domain-control validation and compliance with CA and CA/Browser Forum rules.

5.5 Support. Standard support via published channels (email/contact/portal). Managed, priority, or professional-services work applies only if expressly purchased or confirmed in writing.

5.6 We may modify features, panels, default nameservers, or upstream providers when reasonably required for security, compliance, capacity, or continuity. If a change materially reduces the core paid entitlement of an active term, remedies in these Terms and the Refund Policy apply.

5.7 Marketing descriptions are illustrative. The Order, Invoice, and these Terms control the contractual scope of what you purchased.

6. Orders, quotes, and contract formation

6.1 Product pages and cart totals are invitations to treat unless we expressly confirm acceptance. A binding contract for a specific Service forms when we accept your Order—typically when payment is authorised and captured (or bank transfer is confirmed and reconciled) and we issue a paid Invoice or commence provisioning.

6.2 You must review domain spelling, TLD, plan name, term length, quantity, add-ons, and contact data before paying. Domain names are unique strings; typos after successful registry submission are generally irreversible.

6.3 At checkout you must affirmatively accept (click-wrap) these Terms, the Privacy Policy, and—for domain products—the Domain Registration Agreement. We retain an electronic record of acceptance including timestamp, document version, IP address, and user agent.

6.4 We may cancel an Order before or after payment if fulfilment is impossible or unlawful (registry reject, premium price mismatch, sanctions screening failure, suspected fraud, or technical inability to provision). We will notify you and refund eligible amounts under the Refund Policy and applicable Bangladesh digital-commerce timelines.

6.5 We may refuse to process Orders from jurisdictions or parties subject to applicable sanctions or trade restrictions.

7. Prices, currencies, taxes, and promotions

7.1 Prices are displayed in Bangladeshi Taka (BDT) and/or United States Dollars (USD) as selected in the storefront.

7.2 Unless a line item expressly states otherwise, storefront sell prices are tax-exclusive.

7.3 When the billing country is Bangladesh (BD), Bangladesh Value Added Tax (VAT) at fifteen percent (15%) is calculated and added where our tax configuration applies. Other taxes, duties, or withholdings may apply based on your location when supported by our systems and will be shown before payment where available.

7.4 Currency conversion uses rates we configure or fetch. Your bank, card issuer, or wallet may apply additional foreign-exchange fees outside our control.

7.5 We may change list prices prospectively at any time. Renewals are billed at the then-current renewal price unless a written promotion expressly locks a rate for a stated period.

7.6 Promotional codes are single-use unless stated otherwise, non-transferable, and may be revoked for misuse. Promotions cannot be combined unless we say so.

7.7 Domain fee types (register, renew, transfer, restore/redemption, privacy) are disclosed on product pages, at checkout, and in Domain Fees.

8. Payment methods and billing

8.1 Accepted payment methods may include Stripe (cards and supported wallets), PayPal, bKash, and bank transfer, as enabled in our settings. Availability can vary by currency and country.

8.2 We do not store full payment-card Primary Account Numbers (PAN) or Card Verification Values (CVV) on our servers. Card data is processed by the payment gateway under its PCI DSS obligations.

8.3 Bank-transfer Orders remain unpaid until funds clear and we reconcile the payment reference. Provisioning of paid Services generally starts only after clearance.

8.4 Invoices are due as stated on the Invoice. Failure to pay may result in suspension of renewals, hosting, email, or other term Services. Domain expiry follows registry timelines regardless of whether reminder emails arrive; you remain responsible for renewing before expiry.

8.5 Where automatic renewal is enabled, you authorise us to charge your default payment method for successive terms at then-current rates (plus applicable tax). You may disable auto-renew in the client portal where the feature exists, subject to cut-off times before expiry.

8.6 Chargebacks and payment disputes should first be raised with us under the Complaints Policy and Refund Policy. Unjustified chargebacks after Services have been delivered may result in Account suspension and recovery of gateway fees.

8.7 You represent that you are authorised to use the selected payment method and that billing information is accurate.

9. Domain-specific terms

9.1 Domain Services are further governed by the Domain Registration Agreement, the sponsoring registrar’s terms, registry policies, and—for generic top-level domains (gTLDs)—applicable ICANN consensus and temporary policies (including the Transfer Policy and Registration Data Policy).

9.2 You appoint NextShopper as your agent to submit registration, renewal, update, transfer, and restore requests to the upstream registrar.

9.3 You must keep registrant, administrative, technical, and billing contact data accurate. Failure to respond to verification or accuracy notices within required periods (commonly fifteen (15) days for certain registrar inquiries) may lead to suspension.

9.4 After a new registration or inbound transfer, a sixty (60) day transfer lock or other registry/registrar lock may apply.

9.5 We do not guarantee that any domain is available until the registry accepts the create command. Premium, reserved, blocked, or trademark-claimed names may be unavailable or priced differently.

9.6 Country-code top-level domains (ccTLDs), including any .bd offering through authorised channels, follow the local registry’s eligibility, documentation, and dispute rules.

9.7 Lifecycle after expiry (grace, redemption, pending delete) is described in the Expired Domain Recovery Policy.

10. Hosting, email, and SSL terms

10.1 Hosting is a service entitlement for a paid term, not a sale of physical hardware. We may migrate accounts between servers or upstream providers with reasonable notice when practicable.

10.2 Resource allotments are subject to fair use. Sustained abuse of CPU, I/O, inode counts, bandwidth, or email sending may result in throttling or suspension under the AUP.

10.3 Backups, if offered, are a convenience on a best-effort basis unless you purchase a specific backup service level agreement. You should maintain independent backups of critical data.

10.4 Email sending may be rate-limited. You must not operate open relays. Compromised mailboxes used for spam may be suspended until secured.

10.5 SSL issuance, renewal, and revocation follow CA rules. Providing false validation information is prohibited.

10.6 Upon termination or non-renewal, we may delete hosted data after any grace period we publish. Export your data before the term ends.

11. Service delivery (digital provisioning)

11.1 Services are digital. “Delivery” means provisioning access—for example successful domain create, hosting account activation, mailbox creation, or certificate issuance—not physical shipment.

11.2 Target timelines, customer dependencies, and Bangladesh digital-commerce alignment are set out in the Service Delivery Policy.

12. Customer responsibilities

You agree to: (a) use Services lawfully and in compliance with the AUP and Copyright Policy; (b) secure websites, applications, mailboxes, APIs, and credentials; (c) not infringe intellectual-property, privacy, or publicity rights of others; (d) not attempt unauthorised access to systems; (e) pay fees when due; (f) maintain accurate Account and domain contact data; (g) cooperate reasonably with abuse, security, and legal investigations; and (h) ensure any end users of your hosted properties comply with these Terms.

13. Acceptable use and copyright

13.1 The Acceptable Use Policy and Copyright and Trademark Policy are incorporated by reference.

13.2 Material violations may result in immediate suspension or termination without refund, and may be reported to registrars, registries, payment partners, CERTs, and law enforcement.

14. Intellectual property

14.1 We and our licensors own the website design, software, documentation, logos, and trademarks (including NextShopper). You receive a limited, non-exclusive, non-transferable right to use the Services during the paid term.

14.2 You retain ownership of your content. You grant us a worldwide licence to host, cache, transmit, back up, and process that content solely to provide the Services and as required by law.

14.3 Feedback you provide may be used by us without restriction or compensation.

14.4 You shall not reverse engineer, scrape for competing model training in violation of robots.txt and applicable law, or remove proprietary notices, except to the extent such restriction is prohibited by law.

15. Third-party services and links

Payment processors, registrars, registries, CAs, DNS operators, hosting panels, and linked third-party sites have their own terms and privacy policies. We are not responsible for their outages or policy changes beyond the remedies stated in our policies, except where mandatory law requires otherwise.

16. Suspension and termination

16.1 You may stop using Services and cancel renewals as described in the portal and Refund Policy.

16.2 We may suspend or terminate Services for: non-payment; AUP, copyright, or legal violations; court, registrar, or registry orders; security risk; extended Force Majeure; or material breach of these Terms.

16.3 Provisions that by their nature should survive (fees owed, IP, disclaimers, liability limits, indemnity, dispute resolution, privacy obligations) survive termination.

17. Disclaimers

Except as expressly stated in these Terms or required by mandatory consumer law: (a) Services are provided on an “as available” and “as is” basis; (b) we do not warrant uninterrupted, timely, or error-free operation; (c) we do not warrant that a domain will meet branding, trademark clearance, or search-engine goals; (d) website content is general information, not professional legal, tax, accounting, or security advice; and (e) third-party uptime is outside our absolute control.

18. Limitation of liability

18.1 To the maximum extent permitted by applicable law, our aggregate liability arising out of or relating to the Services is limited to the total fees you paid to us for the specific Service giving rise to the claim during the three (3) months immediately before the event giving rise to liability.

18.2 To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages; lost profits; lost revenue; lost data; business interruption; or reputational harm—even if advised of the possibility.

18.3 Nothing in these Terms excludes or limits liability that cannot be excluded under mandatory law (including liability for fraud, wilful misconduct, or non-excludable consumer guarantees).

19. Indemnity

You will defend, indemnify, and hold harmless NextShopper and its officers, directors, employees, agents, and upstream providers from and against claims, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your content; (b) your websites, domains, or email; (c) your breach of these Terms, the AUP, or the Copyright Policy; or (d) your violation of law—except to the extent caused by our wilful misconduct.

20. Privacy and cookies

Personal data is processed as described in the Privacy Policy. Cookie use is described in the Cookie Policy. Bangladesh digital-commerce guidance requires clear notice and affirmative consent mechanisms for personal data and cookies; our checkout and site notices are designed to support click-wrap consent and cookie awareness on visit.

21. Complaints and consumer rights

Please follow the Complaints Policy. Customers in Bangladesh also have rights under the Consumer Rights Protection Act, 2009 and may escalate to competent authorities, including government e-commerce complaint mechanisms where applicable.

22. Governing law and disputes

22.1 These Terms are governed by the laws of Bangladesh, without regard to conflict-of-law rules that would require another law, except that ICANN, registry, and registrar policies govern domain-registration disputes as applicable (including UDRP and URS where they apply).

22.2 Subject to mandatory consumer venue rules, disputes may be brought in competent courts or forums in Bangladesh. The Florida registered office remains a valid address for contractual notices.

22.3 Before filing a claim (other than for injunctive relief to stop abuse, security harm, or intellectual-property infringement), the parties will attempt good-faith negotiation for thirty (30) days after written notice of the dispute.

23. Changes to these Terms

23.1 We may update these Terms by posting a revised version at this URL and updating the “Last updated” date and document version.

23.2 Material changes affecting paid Services will be highlighted on this page or notified by email when practicable.

23.3 Continued use of the Services after the effective date of an update constitutes acceptance where permitted by law. Where mandatory law requires express re-consent, we will request it (for example at next checkout or login).

24. Notices

Legal notices to us must be sent to [email protected] and/or the postal address above. Notices to you may be sent to the email address on your Account or via the client portal.

25. Miscellaneous

25.1 If any provision is held unenforceable, the remaining provisions remain in effect.

25.2 Failure to enforce a provision is not a waiver.

25.3 You may not assign these Terms without our prior written consent. We may assign them to an affiliate or successor in connection with a merger, acquisition, or sale of assets.

25.4 These Terms, the incorporated policies, and your Order/Invoice constitute the entire agreement for the Services and supersede prior conflicting marketing statements.

25.5 Headings are for convenience only.
